Terms of Service

1. Purpose

Digital Synapse Exchange is a collaborative research and knowledge-sharing platform for professionals, institutions and individuals. It provides tools for publishing, simulation, negotiation and scientific writing.

2. Platform access

Access to public features (viewing the Hub, module presentation) is free and open. Access to the member space and advanced features requires account creation.

We reserve the right to suspend access to the platform for maintenance or updates, without prior notice or compensation.

3. Account creation

To create an account, you must:

• Provide a unique username and a valid email address
• Choose a secure password (minimum 8 characters)
• Accept these Terms of Service and the Privacy Policy
• Be at least 16 years old

You are responsible for the confidentiality of your credentials. Any activity carried out from your account is deemed to have been performed by you.

4. User content

By publishing content on Digital Synapse Exchange, you warrant that you are the author or hold the necessary rights. You retain ownership of your content but grant the platform a non-exclusive licence to distribute it within the service.

All submitted content may be moderated. We reserve the right to remove any content contrary to these Terms without prior notice.

Public showcase, legal identity and manager responsibility

Where a group is made public, it constitutes an online public communication service distinct from the Platform. The group manager is its publisher. Digital Synapse Exchange does not publish this content and acts solely as a hosting provider.

A manager carrying on a business, commercial, craft, professional or non-profit activity shall enter the legal identity of the publishing entity in the dedicated tab and authorise its publication. Depending on the country of establishment, this information includes in particular:

• the corporate or trading name, legal form and, where applicable, share capital;
• the registration number with the competent register — in France, the SIRET number and the registry city;
• the VAT number where the entity is registered for VAT;
• the address of the registered office or place of business;
• the name of the publication director, together with an email address and telephone number allowing the publisher to be contacted;
• where applicable, the professional body, title, licence number or professional indemnity insurance required by the applicable regulations.

This information is self-declared. The Platform may check its format but neither verifies nor certifies its accuracy. The manager warrants that it is accurate, complete and kept up to date, and is solely liable for the consequences of any erroneous, incomplete or outdated information.

The Platform automatically completes each showcase's legal notice page with the identification of its own hosting provider. That mention constitutes neither validation nor approval of the information declared by the manager.

⚠️ The manager is solely responsible for the content published on their showcase. They shall indemnify the Platform against any claim, action or award arising from that content or from the absence, inaccuracy or misleading nature of their legal notice.

Where the declared address is the manager's personal home address — a common situation for sole traders — its publication is their decision alone, to be assessed in light of their circumstances. It is never automatic and remains disabled by default.

The Platform reserves the right to unpublish a showcase whose legal notice is manifestly absent, false or misleading, after notifying the manager and failing remediation within a reasonable period.

Negotiation module: nature of the service

The negotiation module is a tool for holding and recording negotiation sessions between users. Digital Synapse Exchange provides the technical infrastructure for the session and produces its record.

Digital Synapse Exchange is not a party to negotiations conducted through the service. It provides document templates, which determine a preamble and terminology according to the type of collective, but drafts no clause, provides no legal advice within the meaning of article 54 of French law no. 71-1130 of 31 December 1971, and does not draw up any private deed on behalf of users. All negotiated content is written by the users themselves.

The document produced at the end of a session sets out how that session unfolded: the proposals made, the votes cast and the signatures collected. Digital Synapse Exchange expresses no view on its characterisation, on its legal scope, or on that of any agreement reached between the users.

Signatures collected during a session are simple electronic signatures within the meaning of article 1367, second paragraph, of the French Civil Code. They do not benefit from the presumption of reliability attached to a qualified electronic signature.

⚠️ It is for the users to determine, where appropriate with the assistance of a legal professional, the form they intend to give their agreement and the conditions of its validity. Users who wish a legal professional to take part in a session may bring one into it.

Conversational agent

The conversational agent made available on the site is a technical demonstration. Its answers are generated automatically by a language model, may contain errors or omissions, and constitute neither legal advice nor any commitment on the part of Digital Synapse Exchange.

The agent answers from excerpts of the corpus published on the site and from a description of the platform tools. It is not a substitute for reading the articles or these terms. In the event of any discrepancy between an answer given by the agent and this document, this document prevails.

5. Prohibited conduct

The following are strictly prohibited:

• Publishing unlawful, defamatory, hateful or harmful content
• Attempting to access other users' accounts or data
• Using the platform for commercial purposes without prior authorization
• Reproducing the database or content without written consent
• Using bots or automated scripts to collect data
• Distributing malware or attempting to compromise platform security

6. Intellectual property

All elements constituting the platform (design, code, trademarks, logos, structure) are the exclusive property of Vidal Bravo - Jandia Miguel and are protected by French and international intellectual property laws.

Any unauthorized reproduction, representation, modification or exploitation may result in legal proceedings.

7. Liability

Digital Synapse Exchange strives to ensure platform availability and reliability but cannot guarantee uninterrupted availability. We shall not be liable for direct or indirect damages resulting from use of, or inability to use, the platform. The service is provided "as is", without any guarantee of performance, service continuity or suitability for any specific professional use.

Content published by users is the sole responsibility of its authors. The platform cannot be held liable for information published by its members.

Digital Synapse Exchange acts as a hosting provider. It exercises no prior control over content published by users and may only be held liable in that respect from the point at which, having been duly informed of the manifestly unlawful nature of such content, it failed to act promptly to remove it.

The Platform is not a party to any agreement concluded between users, including at the close of a negotiation session. Documents produced by that module bind their signatories alone. The Platform warrants neither the validity, nor the legal effect, nor the performance of such agreements, and plays no part whatsoever in their formation.

8. Termination

We reserve the right to suspend or delete any account in the event of a breach of these Terms, without prior notice or compensation.

9. Governing law

These Terms are governed by French law. In the event of a dispute, the parties agree to seek an amicable resolution before any legal action. Failing that, the competent court shall be that of Toulon, France.
